Provider Agreement

Issued by Project 3 Consultants and Logistics Inc., which carries on business under the registered business name EQI Caribbean Technology  ·  Effective date: 25 October 2026  ·  Version 1.9

This Agreement applies to Providers only It governs the commercial relationship between EQI Caribbean and the licensed insurers, brokers and lenders who subscribe to the platform. Consumers are governed by the Terms of Service.

1. Parties

This Agreement is between:

When a provider registers or gives Commitment, we keep a record of who accepted the Provider Agreement, for which organisation, the version and the date and time, together with a one way code made from the internet address used, to show which agreement was accepted.

This Agreement is formed when you complete registration. It is supplemented by the Terms of Service, which apply to all users and are incorporated by reference. Where this Agreement and the Terms of Service conflict, this Agreement prevails in respect of the commercial relationship between us.

EQI Caribbean is a technology tool that insurers, brokers and lenders choose to use, within their own business, to communicate directly with their customers. Each provider decides for itself whether to use the platform and how. EQI Caribbean does not direct, encourage or require any provider or customer to use it, and takes no part in any provider's dealings with its customers. It does not recommend, rank or promote any provider or product, does not give advice, and receives nothing from any provider because of any enquiry, response or customer's choice. No payment of any kind is made through the platform. Every response comes directly from the provider and remains subject to the provider's own terms, assessment and regulatory obligations.

EQI Caribbean Technology provides a digital workspace that you subscribe to for use within your own business. It gives your team a structured way to receive your customers' enquiries, prepare and send your responses, and manage those customers in one place. Your Subscription Fee is a fee for the use of the platform. It does not depend on how many Enquiries you receive, how many customers you serve, or whether any customer takes up a policy or a loan. We earn nothing from any individual Enquiry, policy or loan, and we do not act for or promote any provider. We are not an insurer, broker, lender or financial intermediary. We do not bind coverage, issue policies, make credit decisions or handle any funds.

3. Access rights

3.1 Grant

Subject to this Agreement, we grant you a non-exclusive, non-transferable right to use the platform within your own business to receive Enquiries, prepare and send Indicative Responses, and manage those customers.

3.2 Authorised users

You may authorise staff to access the platform under your account. You are responsible for everything they do and must ensure they comply with this Agreement and the Terms of Service.

When a member of your staff submits a response through EQI Caribbean, their name and work email address are shown with that response to the broker who sent the enquiry and, for an enquiry a customer sent to you directly, to that customer. You are responsible for telling your staff this.

3.3 Territory

Access is granted for the territory or territories selected at registration. Enquiries are routed to you only for territories in which you are active and hold the required regulatory approvals. Additional territories may be added by agreement, subject to the applicable fee.

3.4 Your data

You may export the Enquiries you have received, the Indicative Responses you have submitted and the choices to proceed recorded against your account, at any time, in the formats the platform provides. We will give reasonable notice before withdrawing any format.

3.5 No exclusivity

Many providers use the platform. Your subscription gives you no exclusive right to any Enquiry. A customer may choose to send the same Enquiry to several providers, and each may respond.

4. Licence verification and onboarding

Access first, verification during the Trial Period Your account is activated immediately on registration so that you can begin using the platform. We then verify your regulatory licence during the Trial Period. Continued access beyond the Trial Period depends on that verification being completed successfully.

4.1 Your declaration

At registration you declare the regulatory licence, registration or approval under which you operate, and you warrant that it is current and in good standing.

4.2 Our verification

During the Trial Period we will verify that declaration with the relevant regulatory authority, being the Financial Services Commission or the Central Bank of Barbados, as applies to the provider, or the equivalent authority in the territory concerned. We may also verify your company registration and the authority of the person who registered the account. You agree to provide any reasonable information or documentation we request for this purpose, promptly.

4.3 Where verification fails

If we are unable to verify your licence, or verification shows that it is expired, suspended, revoked or does not cover the activity or territory concerned, then:

We will tell you the reason and give you a reasonable opportunity to provide correcting information. If you do, and verification then succeeds, access is restored and the Trial Period resumes for the remainder of its original term.

4.4 Ongoing obligation

You must maintain every required licence, registration and approval throughout the term of this Agreement, and must notify us promptly, and in any event within five business days, if any is suspended, revoked, allowed to lapse, or made subject to conditions affecting your ability to operate.

5. Trial Period and Continuation

Nothing is invoiced automatically Your Trial Period does not convert into a paid subscription on its own. At the end of it you decide whether to continue. If you do nothing, your account is suspended and you are charged nothing at all.

5.1 The Trial Period

New Subscribers receive a Trial Period of 30 days from the Effective Date. No Subscription Fee is charged during it, and no invoice is issued.

5.2 Notice before it ends

We will notify you by email at the billing address on your account 7 days before your Trial Period ends, and again 1 day before. Each notice will tell you the date your Trial Period ends, the Subscription Fee that would apply, and how to continue.

5.3 Continuing beyond the Trial Period

To continue, you give Commitment through the platform. Commitment becomes available only once your licence verification under clause 4 has been completed successfully. You may give it at any time during the Trial Period, or during the 30 days described in clause 5.6, except while the product is closed (clauses 5.10 and 5.11).

5.4 Your first invoice

Your first invoice is issued on your Commitment Date. It covers the period from your Commitment Date to the end of the following calendar month, so that you always receive a full month and are never charged for a part month. Payment is due within 14 days under clause 6.4. From the next calendar month onward you are invoiced on the ordinary monthly cycle under clause 6.3.

Worked example You register on 20 July. Your Trial Period runs to 19 August and you are charged nothing. We write to you on 12 August and again on 18 August. You give Commitment on 20 August. An invoice is issued that day covering 20 August to 30 September, due 3 September. Your next invoice is issued on 1 October, covering October, and monthly thereafter.

5.5 If you do not continue

If you have not given Commitment by the end of your Trial Period, your account is suspended automatically. Access to Enquiries ceases. No Subscription Fee is payable and no invoice is issued.

5.6 Coming back after suspension

You may give Commitment at any point during the 30 days following suspension. Doing so restores your access immediately, and clause 5.4 applies from that date.

5.7 Automatic termination

If you have not given Commitment within 30 days of suspension, this Agreement terminates automatically and your account is closed. We will confirm this by email. Your data is then handled in accordance with our Privacy Policy.

5.8 One Trial Period only

The Trial Period is available once. A Subscriber whose Agreement has terminated under clause 5.7, and who later registers again, does not receive a further Trial Period, unless we expressly grant one in writing.

5.9 Ending the trial early

You may terminate at any time during the Trial Period, without charge, by written notice to billing@eqicaribbean.com.

5.10 If a product is closed during your Trial Period

If the product you subscribe to is closed in your territory under clause 6.7 during your Trial Period, your Trial Period is paused from the date it closes. If the product reopens, your Trial Period resumes from that date with the days that were left, and the notices in clause 5.2 are sent by reference to the new end date. While the product is closed, Commitment is not available. You can give Commitment once it reopens.

5.11 If a product is closed after your Trial Period

If the product you subscribe to is closed in your territory under clause 6.7 during the 30 days described in clause 5.6, those 30 days are paused from the date it closes, and Commitment is not available while it is closed. If the product reopens, the 30 days resume from that date with the days that were left, and clause 5.7 applies at the end of them.

6. Subscription Fees

6.1 Fee schedule

The Subscription Fee is a single flat amount, the same for insurers, brokers, and lenders alike. Fees outside Barbados are the Barbados amount converted at the pegged rate of two Barbados dollars to one United States dollar.

Subscription FeeBDS $1,500 / USD $750

A Subscriber holding subscriptions in more than one territory through a common parent organisation may be granted a group discount, as agreed in writing.

6.2 Value Added Tax

VAT at the applicable Barbados rate will be added to fees charged to Barbados-registered Subscribers once EQI Caribbean is registered for VAT with the Barbados Revenue Authority. We will give reasonable notice before VAT is first applied.

6.3 Invoicing

Your first invoice is issued on your Commitment Date under clause 5.4. Every invoice after that is generated on the first day of each calendar month, covers the month ahead, and is sent to the billing email address on your account. Keeping that address current is your responsibility.

6.4 Payment terms

Payment is due within 14 days of the invoice date. Payment details appear on each invoice. You are responsible for any bank or transfer charges.

6.5 Late payment

Days overdueWhat happens
Day 1Invoice status changes to Overdue.
Day 7Payment reminder sent.
Day 14Suspension notice sent.
Day 21Account suspended.

Where we have agreed a different payment arrangement with a Subscriber in writing, we may pause the steps in this clause for the period of that arrangement.

While your account is suspended you may complete every Enquiry already in progress on the day of suspension, including forwarding it, approving responses and dealing with your clients, but you receive no new Enquiries. A suspended account continues to accrue monthly invoices. Suspension is not termination.

Payments are applied to the oldest unpaid invoice first. Once your account has been suspended, access is restored only when every invoice issued to you is paid, including the current invoice even if it is not yet due. We may restore access sooner where we have agreed another arrangement with you. We may cancel or write off an invoice at our discretion but are not obliged to.

6.5A Repeated late payment

If your account has been suspended under clause 6.5 twice within any 12 month period, then for the following 12 months your account is suspended on the 7th day an invoice is overdue instead of the 21st, and the reminder and suspension notice are sent earlier to match. We will tell you by email when this applies.

6.6 Fee changes

We may revise the Subscription Fee on at least 30 days written notice. Continuing to use the platform after the effective date of a change constitutes acceptance of the revised fee.

6.7 If a product is closed in your territory

We may close a product in a territory, for example where a regulator requires it. If we close the product you subscribe to in your territory, we will tell you by email at least 30 days before the date it closes, unless the law or a regulator requires us to act sooner.

From the date it closes, no Subscription Fee is charged for that product in that territory. An invoice that covers days after that date is reduced in proportion to the days before it, and anything you have already paid for the days after it is credited against your next invoice or, if there is none, refunded to you.

Enquiries already sent to you before that date stay open until their Response Window ends, and you can still respond to them until then. You can still see your account and its history.

If the product reopens in your territory, we will tell you by email, and invoicing restarts from the date it reopens, in proportion for that month.

7. Your obligations

7.1 Quality of responses

Every Indicative Response must be made in good faith, based on a genuine assessment of the information provided and a genuine willingness to proceed on those terms, subject to formal underwriting or assessment. Responses must not be submitted speculatively, or as a means of obtaining consumer data without genuine intent.

Every Indicative Response must remain open for the customer to Choose to Proceed for at least 14 days from the date the customer sent the Enquiry. You may offer a longer validity period, but never a shorter one. A Response whose stated validity is shorter than this minimum is rejected at submission.

7.2 Consumer Data

You acknowledge that Consumer Data received through the platform:

You act as an independent data controller in respect of Consumer Data you receive. EQI Caribbean is not responsible for your data handling once an Enquiry has been delivered to you. You must notify us within 72 hours of becoming aware of any breach affecting Consumer Data obtained through the platform.

7.3 Enquiries sent for your own clients

Where you, as a broker, send an Enquiry on behalf of a client who approached you directly rather than through the platform, you warrant that you hold that client's informed permission to do so and that you have told the client how their information will be used. That warranty is recorded against your account. You remain the controller of your own client relationship and are solely responsible for the lawfulness of that permission.

7.3A Renewal reminders

If you turn on renewal reminders, the renewal dates and policy details you record for your clients are your data, and you are their controller. You can download them at any time. We hold them only to send you the reminders you have asked for, show them to no insurer, and delete each one 90 days after its renewal date passes, or all of them when you turn renewal reminders off or your account ends.

7.4 No manipulation

We do not rank, weight or promote any response over another. Responses are shown to the customer in the order received. The customer may choose to sort them by premium or rate. You must not attempt to influence the display or sequencing of responses by any technical or other means.

7.5 Accurate profile

You must keep your company profile accurate and current, including company name, contact details, regulatory status, licence expiry and territories of operation.

8. Intellectual property

All platform software, design, systems and documentation remain the exclusive property of Project 3 Consultants and Logistics Inc. and its licensors. This Agreement transfers no intellectual property rights to you.

You retain ownership of your proprietary pricing models, underwriting criteria and business information. By submitting an Indicative Response you grant us a limited licence to display it to the relevant consumer on the platform.

9. Confidentiality

Each party will keep confidential any non-public information received from the other in connection with this Agreement and use it only to perform its obligations. This does not apply to information that is or becomes public other than through breach of this clause, was already known to the receiving party, or must be disclosed by law or by a regulator.

Consumer Data is not our confidential information for the purposes of this clause. It is governed by clause 7.2.

10. Liability

EQI Caribbean is a technology platform. We do not warrant the accuracy or completeness of consumer-submitted information, and we are not responsible for any underwriting, lending or other decision you make on the basis of it.

To the fullest extent permitted by law, our total liability to you under this Agreement shall not exceed the total Subscription Fees you paid in the three months before the claim. We are not liable for indirect, consequential or special loss, including loss of business, loss of revenue or reputational damage. Nothing in this clause limits liability for fraud, or for death or personal injury caused by our negligence.

11. Suspension and termination

11.1 By you

You may terminate on 30 days written notice to billing@eqicaribbean.com. Fees already invoiced for the current Subscription Period remain payable and are not refunded. Termination during the Trial Period is free of charge under clause 5.

11.2 On lapse of the Trial Period

This Agreement terminates automatically under clause 5.7 where Commitment has not been given within 30 days of suspension. No fee is payable.

11.3 By us

We may suspend or terminate your account immediately, without notice, if:

11.4 Effect

On termination your access ceases immediately and all outstanding invoices become immediately due. Clauses 7.2 (Consumer Data), 9 (Confidentiality) and 10 (Liability) survive termination.

If you stop using EQI Caribbean, you agree that we may show your clients, and the insurers you sent enquiries to, your company phone number and email address, so that they can contact you directly about enquiries that were in progress.

12. Changes to this Agreement

We may update this Agreement from time to time and will give at least 30 days written notice of material changes by email to your registered billing address. Continuing to use the platform after the effective date constitutes acceptance. The current version is always available at my.eqicaribbean.com/subscriber-agreement/.

13. General

Entire agreement. This Agreement and the Terms of Service constitute the entire agreement between us regarding your use of the platform and supersede all prior representations.

Governing law. This Agreement is governed by the laws of Barbados. Any dispute that cannot be resolved informally is subject to the exclusive jurisdiction of the courts of Barbados.

Waiver. A failure to exercise any right does not waive it.

Severability. If any provision is unenforceable it will be modified to the minimum extent needed to make it enforceable, and the remainder continues in full force.

Assignment. You may not assign or transfer any right under this Agreement without our prior written consent. We may assign to a successor entity on reasonable notice.

Project 3 Consultants and Logistics Inc., which carries on business under the registered business name EQI Caribbean Technology. Registered office: #42 Durette Gardens, Gemswick, St Philip, Barbados. Company Registration No. 52770.

Schedule 1. Broker Data Agreement

This Schedule applies only to brokers whose workspace has been turned on.

Parties: Project 3 Consultants and Logistics Inc., trading as EQI Caribbean Technology ("EQI Caribbean"), and the subscribing broker named in the Provider Agreement ("the Broker").

B1. Definitions

  1. The Act means the Barbados Data Protection Act 2019-29.
  2. Client means a person who sets up an account by accepting the Broker's invitation.
  3. Client Data means the personal information about a Client that the Client or the Broker records in the Workspace, other than Platform Records.
  4. Platform Records means the login and security records described in clause B7.
  5. Instructions means the Broker's instructions given through the tools in the Workspace, and any other instructions the Broker gives in writing and EQI Caribbean accepts.
  6. Workspace means the Broker's branded area of the EQI Caribbean platform.
  7. Service Providers means the companies listed in section 13 of the EQI Caribbean Privacy Policy, as updated under clause B5.

B2. Roles

  1. The Broker is the data controller of Client Data. Each Client has authorised the Broker to act on their behalf.
  2. EQI Caribbean provides the tools in the Workspace. It handles Client Data only on the Broker's Instructions, and only as needed to host, secure, back up and support the Workspace.
  3. EQI Caribbean is the data controller of Platform Records.
  4. Insurers that the Broker chooses to send Client Data to are separate controllers. They are not parties to this Schedule.
  5. Where the Broker downloads Client Data, or takes it into its own systems through the platform's export tools or an interface EQI Caribbean provides, the Broker is responsible for that copy from the moment it leaves the Workspace. This Schedule continues to apply to the Client Data that remains in the Workspace.

B3. The Broker's obligations

The Broker shall:

  1. hold each Client's consent before recording their details or inviting them, and confirm this in the Workspace each time it is asked to;
  2. register with the Data Protection Commissioner as a data controller where the Act requires it;
  3. either link its own privacy notice in the Workspace, or rely on the EQI Caribbean Privacy Policy as the notice to its Clients;
  4. choose the insurers to which Client Data is sent, and be responsible for that choice, and for the accuracy of the email addresses it records for them;
  5. answer Clients' requests to exercise their rights under the Act, with EQI Caribbean's help under clause B4.5;
  6. give Workspace access only to members of its staff who need it, keep their sign in details secure, and remove access promptly when a member of staff leaves;
  7. honour any request by an insurer to stop receiving requests from it. Once the insurer's administrator has made that request through the platform, the platform sends no further requests from the Broker to that insurer until the insurer chooses to receive them again;
  8. be responsible for any marketing material it sends to clients or prospects, including material that EQI Caribbean prepares for it, which the Broker adopts as its own and checks against the advertising standards that apply to it;
  9. have a lawful basis to contact each Client it invites, and each prospect who reaches it through its own links on the platform;

B4. EQI Caribbean's obligations

EQI Caribbean shall:

  1. handle Client Data only on the Broker's Instructions, unless the law requires otherwise, in which case it will tell the Broker first where the law allows;
  2. not use Client Data for its own purposes, not sell it, not use it for marketing, and not share it except as the Broker instructs or this Schedule allows;
  3. ensure that every person at EQI Caribbean with access to Client Data is bound by confidentiality;
  4. keep appropriate security measures in place, including encryption in transit, a sign in code on every sign in, access limited by role, an audit log of actions, and regular backups;
  5. help the Broker, within a reasonable time, to answer Clients' requests and to meet its other obligations under the Act;
  6. tell the Broker without undue delay, and in any event within 24 hours of becoming aware, of any breach of security affecting Client Data, and help the Broker with any notice it must give to the Data Protection Commissioner or to Clients;
  7. keep a record of the main categories of handling it carries out for the Broker.

B5. Service Providers

  1. The Broker agrees that EQI Caribbean may use the Service Providers to host and run the platform.
  2. EQI Caribbean shall give the Broker at least 30 days' notice of any new Service Provider that will handle Client Data. The Broker may object in writing within that period, and if the objection cannot be resolved, either party may end the Workspace under clause B8.
  3. EQI Caribbean shall place obligations on each Service Provider that protect Client Data at least as well as this Schedule, and remains responsible to the Broker for them.

B6. Information held outside Barbados

The Broker acknowledges that the platform is hosted in the United States and that some Service Providers are in the United States and France. EQI Caribbean shall ensure that any transfer of Client Data outside Barbados meets the requirements of the Act.

B7. Platform Records

Platform Records are the email address each user signs in with, passwords (stored in a form that cannot be read back), sign in codes, sign in dates, times and network addresses, each user's last active time, the record of each email the platform sends (its kind, time, territory and whether it was sent, never the address, the subject or the content), the audit log of actions, and the records of consents given, and the record of each request by an insurer to stop, or to start again, receiving requests from the Broker, with its date and time. EQI Caribbean controls Platform Records, keeps them for seven years, and uses them only to secure the platform and keep the records the law requires.

B8. When the Workspace ends

  1. When the Broker's Workspace ends for any reason, the Broker may ask, within 30 days, for a copy of its Client Data, and EQI Caribbean shall supply it.
  2. After that period, EQI Caribbean shall delete or anonymise the Client Data within 60 days, except where the law requires it to be kept, and except Platform Records.
  3. Clients' accounts remain tied to the Broker until deleted under this clause.

B9. Information and audit

EQI Caribbean shall give the Broker the information reasonably needed to show that it meets this Schedule. Any inspection beyond that is by agreement, on reasonable notice, at the Broker's cost.

B10. Liability

Each party is responsible for its own breaches of the Act and of this Schedule. Liability is otherwise governed by clause 10 of the Provider Agreement.

B11. Duration and precedence

  1. This Schedule applies for as long as EQI Caribbean holds Client Data for the Broker.
  2. On any matter of data protection, this Schedule prevails over the rest of the Provider Agreement.
  3. This Schedule is governed by the laws of Barbados.

B12. Counts of insurers on brokers' lists

EQI Caribbean may count how many brokers have added the same insurer to their own lists in their Workspaces. It may use that count only to tell the insurer how many brokers have listed it, and in its own anonymous statistics. A count never names or identifies any broker, never shows which brokers have listed an insurer, and never includes any Client Data.
